Raymond Realty clears exchange hurdle for Rs 409 crore promoter warrant issue

Raymond Realty has received in-principle approval from BSE and NSE to issue 66,57,373 convertible warrants at a floor price of Rs 614 per warrant. The approval, dated 23 October 2026, allows the Thane-headquartered developer to proceed with a preferential private placement of the warrants to J K Investors (Bombay) Limited, a promoter-group entity. The aggregate size of the issue is about Rs 409 crore.

The exchange nod is a procedural step rather than a final allotment. It lets the company move ahead with the placement, provided it follows SEBI's compliance framework and trading restrictions. Under the exchange conditions, the company must ensure that allottees do not engage in intra-day trading, and allottees may not sell the stock before the allotment date.

Issue size, pricing and payment terms

Each warrant is priced at Rs 614, made up of a Rs 10 face value and a Rs 604 premium. Multiplying the number of warrants by the issue price gives roughly Rs 408.76 crore, the figure cited in the board filing. Under the payment structure, 25 percent of the issue price is payable upfront at allotment, with the remaining 75 percent due when the warrants are exercised. The upfront portion works out to about Rs 102 crore.

Warrant holders can convert into equity shares in one or more tranches within 18 months of allotment. Warrants not converted within that period lapse, and the upfront amount paid on them is forfeited.

The board approved the issue on 11 September 2026. Shareholders approved the capital increase and preferential issue at an extraordinary general meeting on 8 October 2026, and the promoter group voted in favour of both resolutions. To accommodate the issue, the board approved raising authorised share capital from Rs 70 crore to Rs 75 crore through 50,00,000 additional equity shares of Rs 10 each, ranking pari passu with existing shares.

Shareholding impact

J K Investors holds 1,98,61,793 shares, or 29.83 percent of Raymond Realty. After full conversion, its holding would rise to 2,65,19,166 shares, or 35.99 percent on a fully diluted basis. For the promoter group as a whole, shareholding is projected to rise from 50.93 percent to 55.04 percent after full warrant conversion and exercise of 4,61,215 outstanding ESOPs. Public holding is expected to fall from 49.04 percent to 44.93 percent on the same basis.

How the proceeds will be deployed

A clarification sent to NSE on 13 October 2026 revised the earlier fund-use schedule. Under the revised plan:

  • Rs 247 crore toward approval and construction costs for the Pokhran Road No. 1 realty project in Thane, spanning 3,30,981 square metres
  • Rs 60 crore for a second project adjacent to Lake Shore Mall in Laxmi Nagar, Thane, covering 20,685 square metres
  • Rs 102 crore for general corporate purposes, including transaction costs, within three years of receipt of funds

CARE Ratings Limited has been appointed as monitoring agency for the proceeds, in line with SEBI rules for issues above Rs 100 crore.

A Thane-focused capital raise

Both projects funded by the issue sit in Thane, part of the Mumbai Metropolitan Region. The company's registered office is at Jekegram on Pokhran Road No. 1 in Thane West. The second site lies near Lake Shore Mall in Laxmi Nagar. India's residential demand has stayed firm across the Mumbai Metropolitan Region, and Thane remains one of its most active residential corridors, which is the setting for the company's current development pipeline.
