The options are priced at ₹404.80 each and linked to financial metrics including Cumulative Consolidated Thane Revenue and PBT, with 2,31,835 options vesting immediately.

The options are available to employees and options holders currently holding options under the Raymond Employees Stock Option Plan 2023. This move aims to incentivize employees by linking their rewards to the company's performance and growth. The immediate vesting component signals the company's confidence in its near-term operational trajectory and existing team contributions.

The options have an adjusted exercise price of ₹404.80 per option, calculated post-demerger. This pricing reflects the restructuring that created Raymond Realty as an independent, publicly listed entity.

Context: Recent ESOP Milestones

The June 5 grant follows a series of approvals that prepared the ground for this deployment. Raymond Realty's shareholders approved the 'Raymond Realty Employees Stock Option Plan 2025' on February 21, 2026, with the main resolution passing with 99.71% in favour. In May 2026, Raymond Realty received in-principle approval from BSE and NSE for the issue and listing of 13,80,588 equity shares of ₹10 each under the ESOP 2025.

Post-Demerger Continuity

Raymond Realty, the real estate arm of Raymond Limited, was demerged on May 1, 2025, as part of a strategy to create focused, pure-play business verticals. The ESOP 2025 plan provides continuity for employees who were previously covered under the 'Raymond Employees Stock Option Plan 2023' of its former parent, Raymond Limited. This ensures that the independent entity maintains alignment with its workforce during a period of corporate transformation.

Strategic Rationale for ESOP in Competitive Real Estate

Implementing the ESOP plan is a strategic move to attract, retain, and motivate key talent, aligning employee interests with the company's long-term growth objectives. This incentivisation mechanism is particularly important for a demerged entity focused on scaling its operations and market presence in the competitive real estate sector.

Developer Backdrop: Scale and Trajectory

Capitalising on its brand value and crucial land assets, Raymond Realty launched in 2019 and, in a short duration, became one of the five largest developers in the Mumbai Metropolitan Region (MMR) by FY 2024-25 revenue. Between FY20 and FY25, it achieved a 45 per cent compounded annual growth rate (CAGR) in bookings, 55 per cent in collections, 67 per cent in revenue, and a staggering 101 per cent in operating profit (EBITDA).

With a gross development pipeline topping Rs 40,000 crore, a strategically held land bank of more than 100 acres, and a net-cash balance sheet, Raymond Realty is targeting annual revenue expansion of 20 per cent and ROCE north of 20 per cent. The ESOP deployment signals management confidence in achieving these targets and retaining the talent required to execute them.

Following this approval, the company will begin processing allotments and share listings under the scheme, subject to fulfillment of stipulated regulatory listing conditions.
